Bylaws rules that need changing

  1. In Paragraph 4.3 (Sponsor Members) the annual fee is supposed to be determined by the board at first, but once there are sponsor members the sponsor members vote amongst themselves to make changes to the fee structure. Proposal: Let only the board decide on the annual fee amount. The board culd also establish a tiered fee structure, but that may have fairness issues.
  2. Paragraph 5.4 (Number of Directors) specifies that the number of directors on the board is set by the members at the annual meeting. It's unclear how members can come up with a sensible number, though. UPDATE 2009-01-21: Bylaws change pending, number of directors set by (outgoing) board before election.
  3. Paragraph 5.5 (Election and Term for Directors) says that directors are elected at the annual meeting (supposedly after determining the number of directors), but does not mention how candidates are nominated at all.
  4. Clear up bylaws change process (paragraph 7.10): Needs clarification about the process followed: Vetoes during the 15 day waiting period will mean the bylaws change is shelved and put to a vote at the next membership meeting.
  5. Majority rules: Clear up wording to distinguish "members present at a meeting" and "all members of the corporation". Use identical wording in 4.4, 4.7, 4.8, 3.10. Also: Only require simple majority for Emeritus Members (4.7).
  6. Update join process (paragraph 4.4): 
    • when a new member applies, send their data to the foundation@zope.org list for vetos
    • veto period 2 weeks
    • if no veto has been sent, membership application succeeds immediately
    • if a veto has been raised, prospective member is voted on by the membership at the next annual meeting
